Though it may differ slightly here and there, the process for joining Array generally parallels the traditional M&A (Mergers & Acquisitions) process:

Tell us a little bit about yourself, your practice, your goals, and your needs and to learn about what ADG has to offer.

Intro Call

Tell us a little bit about yourself, your practice, your goals, and your needs. We’ll also tell you a little bit about ADG, our philosophy and our values, and determine whether there’s potential for a mutually-beneficial goal.

Non-Disclosure Agreement

Both sides agree to keep confidential all discussions and information exchanged, throughout the affiliation process.

Initial Information Exchange

You provide us with some basic financial information and a few reports generated from your practice software.

Preliminary Review/Valuation

One of our analysts will take that information, conduct a preliminary review, and develop a valuation, if applicable.

Offer/Initial Discussion of High-Level Terms

Once the valuation has been completed, we’ll schedule a call with you to review findings, discuss proposed initial terms, and next steps. ADG will draft a summary ‘term-sheet’ of the agreed-upon terms for your review and approval.

Draft and Execute Letter of Intent (LOI)

Once consensus is reached on the term-sheet, both sides will execute a Letter of Intent (LOI), formally codifying our intentions.

Confirmatory Due Diligence & In-Depth Analysis

ADG will then conduct confirmatory due diligence, as well as perform an in-depth assessment of your practice; so that we can develop an action plan to address your specific problems and issues.

Launch Formal Negotiation of Definitive Agreements

The lawyers get involved. Here we’ll hammer out all of the specific details.

Integration Preparation

Once a close-date is set, we’ll provide you with an integration handbook that spells out what to expect in the integration process, and outlines all of the information we’ll need to collect from you prior to closing in order to ensure a smooth, orderly, integration into the ADG family.

Close Date: Execute Definitive Agreements/Initiate Wire-Transfer(s)

Sign papers, initiate wire-transfers, and celebrate!

Integration into Array

We’ll kick things off with an initial ‘Welcome Orientation’ to introduce your staff to ADG, explain a few things, and address any questions or concerns they may have.

Then, our team will immediately get to work on the integration of your practice. This includes things like:

  • Vendor Migration
  • Payor Migration
  • Payroll Migration

In parallel, our operations team will develop a business development action-plan on the basis of the information gathered throughout the due diligence phase, as well as through on-site observations and interviews with your staff.
